Terms and Conditions

Introduction

​

These Terms and Conditions (“Agreement”) govern the relationship between Desi Media Management LTD, also referred to as DM Management, located at Office 6902, 182-184 High Street North, East Ham, London, United Kingdom, E6 2JA (referred to as "DM Management," "we," "us," or "our") and the client engaging our services (referred to as "Client," "you," or "your"). By using any of our services, you agree to be bound by these legally binding terms and conditions, applicable worldwide.

These terms and conditions apply to all services provided by Desi Media Management LTD, including but not limited to Digital Marketing Consultancy, Social Media Management, Search Engine Optimization (SEO), Content Creation, Paid Targeting Management, and related services.

 

1. Services Provided

Desi Media Management LTD offers a variety of services to its Clients, including:

​

• Digital Marketing Consultancy: Strategic advice and planning for digital marketing activities.

• Social Media Management: Management of your brand's social media accounts (e.g., Facebook, Instagram, TikTok, etc.), including engagement, content curation, and daily updates.

• Search Engine Optimization (SEO): Improving the visibility of your website on search engines.

• Content Creation: Producing high-quality and relevant content for digital marketing purposes.

• Paid Targeting Management: Handling paid advertising campaigns across platforms like Facebook, Google, TikTok, and more.

2. Engagement Terms

​

By engaging our services, you agree to enter into a service contract for a predetermined duration, as outlined in your agreement with us. All service fees, including any associated advertising budgets, must be paid in advance before the commencement of the service period. Failure to provide timely payment will result in a delay or suspension of services until full payment is received.

3. Payment Terms

​

• Initial Payment: Payments are due in full at the beginning of each agreed service period (3 or 6 months).

• Ad Budgets: The Client is responsible for ensuring their advertising budget is paid in addition to the monthly service fee. Any adjustments to the ad budget must be agreed upon in writing by both parties.

4. Refund Policy

​

Desi Media Management LTD has a strict no-refund policy that applies 14 days after the contract's start date. If the Client wishes to cancel their contract within the first 14 days of signing, the following applies:

​

• The Client must provide a valid reason for cancellation within the first 14 days.

• DM Management will review the cancellation request on a case-by-case basis. If the cancellation request is deemed valid and justified, DM Management may consider a partial or full refund.

• If no valid reason is provided, or if the cancellation request is not approved, the Client will remain liable for all agreed fees for the duration of the service period.

• After 14 days, no refunds will be issued for any reason, and the Client will be responsible for paying the full amount as per the original agreement.

5. Contract Termination by Client

​

If the Client chooses to terminate the contract before the agreed service period (3 months or 6 months), the following conditions apply:

​

• 20% Cancellation Charge: If the Client terminates the contract early, a cancellation charge of 20% of the total contract value will be applied. This charge is to cover the work already completed by DM Management up to the point of cancellation.

• The cancellation request must be submitted in writing.

6. Responsibilities of DM Management

​

• Desi Media Management LTD will provide the services specified in the agreement in a professional and diligent manner.

• We will allocate a dedicated social media manager to oversee the Client's accounts, create content, and manage advertising campaigns.

• The services will include:

  • Social Media Management

  • Marketing Consultancy

  • Ad Management and Campaign Optimization

  • Ad Copy Creation

  • Monthly Audits and Performance Reviews

  • Content Planning and Scheduling

  • Competition Research

  • Daily Updates on Performance Metrics

7. Client Responsibilities

​

• The Client must provide accurate and timely information required to perform the services.

• The Client must maintain and fund their advertising budget as agreed in the contract.

• The Client is responsible for any additional costs incurred by influencers or third-party vendors used to promote their services/products (where applicable).

• The Client must give DM Management moderator access to their social media accounts, advertising accounts, and platforms like Shopify for tracking and analytics purposes.

8. Limitation of Liability

​

• DM Management will not be liable for any indirect, incidental, or consequential damages that arise from the use of our services.

• Our maximum liability for any claim related to this agreement will be limited to the total fees paid by the Client for the service during the preceding 3-month period.

9. Intellectual Property

​

• Any content created by DM Management during the service period (graphics, videos, posts, etc.) is owned by the Client once full payment is received.

• DM Management reserves the right to use completed project work for portfolio purposes unless otherwise agreed in writing.

10. Confidentiality

​

• Both parties agree to maintain confidentiality with regard to proprietary business information, marketing strategies, financial data, and other sensitive information shared during the course of the contract.

​

11. Commission Structure for Freelancers

​

If a freelancer or contractor generates leads and sales for Desi Media Management LTD:

• They are entitled to a 10% commission for each paid client they bring in.

• If they refer 5 clients, the commission increases to 15%.

• Freelancers who bring in 50 clients will secure a permanent position at Desi Media Management LTD, along with a salary, commissions, and exclusive company benefits.

12. Governing Law

​

These terms and conditions are governed by and interpreted in accordance with the laws of England and Wales. Any disputes arising from this agreement will be resolved in the courts of England and Wales.

​

13. Changes to the Terms

​

DM Management reserves the right to amend or update these terms and conditions at any time. Clients will be informed of any changes 30 days before they come into effect.
